These terms govern your use of nephelo.gr, the management dashboard and the Nephelo hosting services.
The service is provided by DL Software L.P., a limited partnership trading as DL Software, VAT number 802945681, GEMI number 185924103000 and EUID ELGEMI.185924103000. Its registered office is at 13 Doiranis Street, Kypseli, 113 62 Athens, Greece.
By creating an account, ordering a plan or using the service, you accept these terms and the Privacy Policy. If you are acting on behalf of a business or organisation, you confirm that you are authorised to bind it.
To enter into this contract you must have the legal capacity required to do so. If you do not agree with these terms, you must not use the service.
Nephelo provides managed hosting for WordPress, WooCommerce and other supported applications.
Depending on your plan, the service may include an isolated server, a management dashboard, SSL, staging, email, backups, monitoring, technical support and site migration.
The resources, prices and specific inclusions of each plan are those shown at the point of order or described in a separate written quote. Third-party software, such as WordPress and its plugins, is also governed by the terms set by its respective authors.
We may improve or replace technical components of the infrastructure, provided this does not materially reduce the agreed service.
You are responsible for the accuracy of your account details and for every action taken through your account.
We will never ask for your password by email. We recommend two-factor authentication on every account.
The service must be used lawfully and without putting other users, systems or networks at risk.
We may rate-limit malicious traffic or temporarily isolate a site where that is necessary for the security of the service.
Subscriptions are charged per site, monthly or annually, according to the plan you choose.
Prices are shown excluding VAT unless stated otherwise. Applicable VAT and any statutory charges are added at billing. On annual billing you pay the price shown at the point of order, which currently corresponds to 10 monthly charges.
Your subscription renews automatically at the start of each cycle and the amount is charged to your stored payment method. Payments are processed by Stripe, and Nephelo does not store your full card details.
Plan changes may create a pro-rata charge or credit. The relevant amount is shown in the dashboard or on the invoice. If a payment fails, we may retry the charge and, after notice, suspend the service.
You may cancel at any time by deleting the relevant site or contacting us. Cancellation stops the next renewal. Amounts already paid, including a prepaid annual subscription, are not refunded except where the law requires otherwise.
Agencies may host their clients' sites and set their own commercial relationship with each client.
The agency remains responsible to Nephelo for the charges, for lawful use, for the instructions it gives and for the actions of the users it invites. It must also hold the authorisations necessary to manage its clients' sites and data.
Personal wholesale prices, limits and any additional services are set out in the written quote or in the agency's account. A confidential quote must not be shared with third parties.
If client subscription collection is enabled, the roles of the parties, commissions, refunds, taxes and the handling of disputes will be set out in a separate agreement. Until then, the agency manages its own invoicing and collection.
Some Nephelo features are still offered in beta and may change as the service develops.
Beta features may contain bugs, be temporarily unavailable or behave differently from the final version. We will tell you when a significant change materially affects your use of a paid service.
The beta label does not limit rights or liabilities that cannot be excluded by law. Do not use an experimental feature as the only means of storing critical data.
We monitor the infrastructure around the clock and provide 99.9% monthly uptime.
The calculation excludes scheduled maintenance, problems in networks or third-party services, attacks, force majeure events, and interruptions caused by the site, the user or unsupported software.
Support is provided in Greek and English. During the beta we reply within office hours and give priority to critical incidents. A specific response time or a dedicated SLA applies only where it has been agreed in writing.
You may stop using the service at any time. Before deleting a site, you must export any data you wish to keep.
We may suspend or terminate an account or a site for a material breach of these terms, overdue payments, a serious security risk, unlawful activity, or compliance with a lawful order. Where reasonable, we will give notice and an opportunity to remedy the breach first.
In an urgent incident we may act without prior notice, only to the extent needed to contain the risk. Termination does not cancel obligations that have already arisen.
We provide the service with professional care, but no online service can be entirely uninterrupted or error-free.
To the maximum extent permitted by law, we are not liable for indirect or consequential loss, or for loss of profit, revenue, reputation or business opportunity. We are not liable for the user's own actions, third-party content or software, or events beyond our reasonable control.
If a site is unavailable due to a proven failure of Nephelo, we refund an amount equal to one month's charge for that site. On an annual subscription, one month means 1/12 of the annual amount paid. This is the maximum total refund or compensation for that incident.
These limitations do not apply to wilful misconduct or gross negligence, to death or personal injury, or to any liability or right that cannot lawfully be limited.
You retain all rights in the content and data you host through Nephelo.
You grant us only the licence necessary to host, copy, transfer and process that data in accordance with your instructions and in order to provide the service.
We take daily backups as a recovery facility, not as a permanent archive. Although we monitor the backup systems, you should keep your own recent copy of business-critical data.
After a site is deleted, removal from active systems begins immediately. Residual copies may remain until the limited retention cycle completes, and during that period they are not used for any other purpose.
The processing of personal data is described in detail in the Privacy Policy and, where Nephelo acts as a processor, in the relevant data processing agreement.
These terms are governed by Greek law and by the applicable law of the European Union.
Before taking legal action, the parties will try to resolve the dispute in good faith through communication. If that is not possible, the courts with jurisdiction under applicable law will hear the dispute.
If you are a consumer, you keep all mandatory rights and jurisdiction options granted to you by the law of your country of residence.
We may update these terms when the service, the law, or the way we operate changes.
The date of the last update is shown at the top of this page. For material changes we will give reasonable prior notice by email or within your account, unless an immediate change is required for security or legal reasons.
Continuing to use the service after the new terms take effect means you accept them. If you do not agree, you may stop using the service before they come into force.
